Memorandum of Understanding
Research network collaboration · Version 2026-10-15
This MOU is between Monarch Crops Inc, operating as Monarch Labs (Monarch), and the laboratory, institution or independent researcher identified in the application (Participant). It sets out the terms for participation in the Monarch research network.
1. Purpose
The parties will collaborate on insect-behavior research to identify compounds that change an insect's decision to land on people or crops. Experiments will generate evidence for predictive models and inform what the network tests next. The collaboration is non-exclusive. The application describes the proposed work; the parties will agree the specific experiments, protocol and contributions before work begins.
2. What each party provides
Monarch will provide the agreed test compounds, standardized assay materials, shared protocols and scientific support. Participant will receive access to the full shared network dataset and ranked actives, including behavioral measurements, experimental metadata and video recordings from other participating laboratories.
Participant will provide the agreed researchers, facilities, insect colonies and equipment, conduct the experiments using the agreed protocol and required controls, and record deviations and quality concerns. It will submit complete results, including positive, negative and inconclusive findings.
3. Sharing within the network
All research data from the agreed work, including assay and efficacy measurements, metadata and video recordings, will be shared with every participating laboratory. Participant authorizes Monarch to host, process and share its contributions within the network for research, analysis and model training. Network access does not authorize public disclosure.
Uploads, data quality and source-record retention will follow the agreed protocol and Lab Support instructions. Each party must have the permissions needed to contribute and share its data. Unrelated research and unnecessary personal information are outside this collaboration.
4. Public release and permission
Monarch will publicly release only compound identities and basic repellency data on those compounds, once each calendar quarter. Participant authorizes inclusion of those results in the quarterly releases. The parties will agree the basic repellency fields and release details before work begins.
Any other public release requires separate prior written permission from Monarch and each contributor whose information is included. This applies to additional data, analyses, non-public methods, metadata and videos, including disclosure in papers, preprints, presentations or public datasets. Silence and access to network data do not constitute permission.
5. Compounds and intellectual property
Neither party will seek, claim or assert exclusive intellectual-property rights in the specific compounds identified through the collaboration. Compound identities and basic repellency data will be publicly released as stated above. This commitment does not extinguish existing third-party rights; any restriction affecting a proposed contribution must be identified before it enters the collaboration.
Each party retains its pre-existing intellectual property. Researchers, companies and other organizations may pursue downstream formulations, safety and field testing, regulatory approvals, manufacturing and distribution. This MOU grants no exclusive commercialization rights or ownership of another party's inventions, software or models.
6. Research conduct and credit
Each party is responsible for its staff, facilities, safety and required institutional, ethics, biosafety, import, export and field approvals. Scientific or commercial success is not guaranteed. Authorized publications must credit contributing researchers and laboratories appropriately; authorship reflects scholarly contribution.
7. Acceptance and ending participation
By checking the MOU agreement box and submitting the application, the applicant accepts this MOU for Participant and confirms authority to do so. Monarch accepts the MOU when it approves the application. Participation begins only after that approval. Online acceptance replaces separate signatures; the application supplies Participant's identity and contact details.
The parties remain independent; neither may bind the other. Changes to the agreed work or these terms require written agreement. Later website changes do not amend the accepted MOU version. Either party may end future participation by written notice. The data-sharing permissions, public-release restrictions and compound-IP commitments continue for work already completed.
